Before signing a contract, paying in advance or delivering goods on credit, it is worth spending a few minutes to check that your partner really is who they claim to be and has no obvious financial or legal red flags.
Checklist
- Does the company exist and is it active? Check the name, registration number and status in the register: is the company in liquidation, insolvency or being struck off?
- Who represents it? Board members and their powers of representation — is the person signing the contract entitled to do so (alone or jointly)?
- Who owns it? Shareholders and beneficial owners. Frequent ownership changes, or a newly registered company asking for a large deal, are reasons to ask more questions.
- VAT status. Is the VAT number valid (EC VIES)? This determines whether you may invoice without VAT.
- Finances. Turnover, profit, equity and headcount over recent years. Negative equity or a sharp fall in turnover are warning signs.
- Taxes and debts. Tax debts, the tax authority's rating, security measures and suspension of business activity.
- Sanctions. Make sure neither the company nor its people are on UN, EU, US or UK sanctions lists.
How to do it with Regmio
